10

How is my privacy protected?

Your use of the Site is subject to our Privacy Policy (Website), which describes how we collect, use, disclose, and protect your personal information in compliance with the CCPA/CPRA, UK GDPR, EU GDPR, and PECR. The Privacy Policy is incorporated into these Terms by reference. We honour Global Privacy Control (GPC) signals as described in our Privacy Policy.

11

What are the disclaimers?

The Site is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, Sumvin disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We don’t warrant that:

  • the Site will be uninterrupted, timely, secure, or error-free;
  • any information on the Site will be accurate, complete, or current; or
  • any defects will be corrected.

Information published on the Site about Sumvin’s planned services is subject to change and doesn’t constitute an offer, commitment, or guarantee that any particular feature or service will be made available. Some jurisdictions don’t allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

12

What’s our liability?

To the maximum extent permitted by applicable law, Sumvin, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Site.

Our total aggregate liability for all claims arising from or related to these Terms or the Site shall not exceed one hundred US dollars ($100).

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we’ve been advised of the possibility of such damages. Some jurisdictions don’t allow limitations on certain damages, so some of the above may not apply to you.

13

What about indemnification?

You agree to indemnify, defend, and hold harmless Sumvin and its officers, directors, employees, agents, and affiliates from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: your violation of these Terms; or any content you submit through the Site that infringes a third-party right. This indemnification obligation doesn’t apply to the extent that the claim arises from Sumvin’s own negligence or wilful misconduct, and doesn’t apply to UK or EU consumers to the extent prohibited by mandatory consumer protection law.

14

Can access be terminated?

We may restrict or terminate your access to the Site at any time, with or without cause or notice. You can stop using the Site at any time. To unsubscribe from our newsletter or request deletion of your data, contact hello@sumvin.com. Upon termination, your data will be retained and deleted in accordance with the retention schedule in our Privacy Policy (Website).

Sections that by their nature should survive termination will survive, including the Intellectual Property, Disclaimers, Liability, Indemnification, and Governing Law and Disputes sections of these Terms.

15

What law governs and how are disputes resolved?

Note for UK and EU users: If you’re a consumer in the United Kingdom or European Union, the arbitration and class action waiver provisions below don’t apply to you. See the UK and EU users subsection for your rights.

Governing law

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Informal resolution

Before filing any formal dispute, you agree to first contact us at legal@sumvin.com and attempt to resolve the dispute informally for at least 60 days from the date we receive your written notice.

Binding arbitration

If we can’t resolve a dispute informally, any dispute, claim, or controversy arising from or relating to these Terms or the Site shall be resolved through binding individual arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules then in effect.

The arbitrator shall have exclusive authority to resolve all disputes arising out of or relating to the interpretation, applicability, enforceability, or formation of these Terms, including whether a claim is subject to arbitration. The arbitrator’s decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

For claims under $10,000, you may choose whether the arbitration is conducted solely on the basis of documents, through a telephonic or video hearing, or by an in-person hearing. Sumvin will pay all AAA filing, administration, and arbitrator fees for claims under $75,000, unless the arbitrator finds the claim frivolous.

Class action and jury trial waiver

To the maximum extent permitted by applicable law, you and Sumvin each waive the right to a jury trial. You and Sumvin each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of class or representative proceeding.

If this class action waiver is found to be unenforceable with respect to a particular claim or request for relief, then that claim or request for relief shall be severed and proceed in a court of competent jurisdiction rather than in arbitration, while remaining claims continue in arbitration on an individual basis.

Can I opt out of arbitration?

Yes. You may opt out of the arbitration and class action waiver provisions by sending written notice to legal@sumvin.com within 30 days of first agreeing to these Terms. You agree to these Terms when you first access or use the Site, or when you first submit information through the Site (for example, by joining our waitlist or subscribing to our newsletter), whichever occurs first. Your notice must include your name, email address, and a clear statement that you wish to opt out. If you opt out, all other provisions of these Terms remain in effect.

Exceptions to arbitration

Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Small claims court actions within the jurisdictional dollar limits of such court are also exempt from the arbitration requirement, provided the claim remains in small claims court and is brought on an individual basis.

UK and EU users

If you’re a consumer in the United Kingdom or European Union, nothing in this section limits your right to bring proceedings in your local courts. Mandatory consumer protection laws of your jurisdiction apply regardless of the governing law clause above. You may also use the European Commission’s Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16

Can these Terms change?

We may update these Terms from time to time. Changes that affect your rights or obligations are considered material and will be communicated via notice on the Site at least 30 days before they take effect. Changes limited to formatting or typographical corrections may take effect upon posting.

Your continued use of the Site after the effective date of updated Terms constitutes acceptance. If you don’t agree to the updated Terms, please stop using the Site.

17

General provisions

Entire agreement
These Terms, together with the Privacy Policy (Website), constitute the entire agreement between you and Sumvin regarding the Site and supersede all prior agreements and understandings.
Severability
If any provision of these Terms is found to be unenforceable by a court or arbitrator, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
Waiver
Failure to enforce any provision of these Terms doesn’t constitute a waiver of that provision or any other provision.
Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of substantially all of our assets. We will notify you of any such assignment that materially affects your rights under these Terms.
Force majeure
We’re not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, pandemics, war, internet or telecommunications infrastructure failures, or power outages. This does not excuse failures directly caused by Sumvin’s knowing violation of applicable law.
Notices
We may send notices to the email address you’ve provided to us. Notices sent by email are deemed received on the day sent. You may send notices to legal@sumvin.com or to Sumvin Inc, Attn: Legal, 2261 Market Street STE 86961, San Francisco, CA 94114, United States.
